Service Description:
CHATTERMATTERS.AI provides custom AI-powered chatbot solutions tailored to enhance customer engagement and streamline business operations through process automation. Our chatbots handle tasks such as answering FAQs, capturing visitor information, and providing customer support.

CHATTERMATTERS.AI offers the following subscription options:

Service Limitations:
CHATTERMATTERS.AI’s chatbots are designed to perform a wide range of tasks but are not intended to provide professional advice (e.g., legal, medical, or financial advice). The performance of the chatbot is contingent upon the accuracy and quality of the data provided by the client. CHATTERMATTERS.AI does not guarantee uninterrupted service or error-free performance.

Acceptable Use:
You must use the chatbot solution in compliance with all applicable laws and regulations. Misuse, such as harassment, spamming, or illegal activities, is strictly prohibited.
Client Data:
You are responsible for ensuring that any data provided to CHATTERMATTERS.AI is accurate and lawful. You must have the necessary rights to use the data and ensure compliance with applicable privacy laws.
Client Obligations:
You must cooperate by providing all necessary resources and information to CHATTERMATTERS.AI to develop and maintain the chatbot. Delays in providing information may result in delays in service or additional fees.

Payment Due:
Payments are required before services are rendered.
30-Day Money-Back Guarantee:
We offer a 30-day money-back guarantee on all of our plans. If you are not satisfied with the service within the first 30 days, you can request a full refund by emailing charlie@chattermatters.ai with "Request for Refund" in the subject line. Refunds will be processed within 7 days of receiving the request. Refunds are not applicable in cases of client misuse or excessive customization requests.
Non-refundable After 30 Days:
After the initial 30-day period, all payments are non-refundable. You may cancel your subscription at any time, but no refund will be issued for the remaining time on the annual subscription. Cancellations take effect at the one-year anniversary date.
Taxes:
Clients are responsible for any applicable taxes related to the purchase of services. All fees are exclusive of taxes unless otherwise stated.

Data Handling:
CHATTERMATTERS.AI handles client data with the utmost care and uses it solely for service delivery. Data is shared with OpenAI for facilitating chatbot responses, but OpenAI does not store the data long-term. We do not store personal data longer than necessary for business purposes.
Third-Party Sharing:
Your data will not be shared with third parties without explicit consent, except as required for service delivery or mandated by law.
Client Responsibility:
You must ensure that the data provided does not violate privacy laws or third-party rights. You are responsible for securing permissions for any personal data used in the chatbot.
Compliance with Global Data Protection Laws:
Adams Ventures LLC complies with applicable data protection regulations, including the General Data Protection Regulation (GDPR) for European clients where applicable. Data provided by the client will be encrypted and stored securely. In the event of a data breach, Adams Ventures LLC will notify affected clients promptly.

Ownership:
Adams Ventures LLC retains full ownership of the chatbot technology. Clients are purchasing a license to use the chatbot, not ownership of the technology itself.
Licensing:
Upon payment, you receive a non-exclusive, non-transferable license to use the chatbot for your business. This license may be revoked if you violate these terms.
Copyright:
All content, design, and code provided by CHATTERMATTERS.AI are protected by copyright laws. Unauthorized use or reproduction is prohibited.

Limitation of Liability:
Adams Ventures LLC is not liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, resulting from the use or inability to use the chatbot. Liability is limited to the amount paid for the service. Adams Ventures LLC is not liable for any data breaches caused by third-party providers.
Disclaimers:
CHATTERMATTERS.AI provides no warranties, express or implied, regarding the performance of the chatbot. We do not guarantee that the chatbot will meet all expectations or be free from errors. Scheduled maintenance, technical issues, or unforeseen events may result in temporary outages.
Indemnification:
You agree to indemnify and hold Adams Ventures LLC harmless from any claims, damages, liabilities, and expenses arising out of your use of the chatbot, including intellectual property infringement claims resulting from the data or content you provide.

Suspension of Service:
Adams Ventures LLC reserves the right to suspend services temporarily in the event of non-payment or violation of these Terms and Conditions. Services may be reinstated upon resolution of the issue.
Termination Rights:
Adams Ventures LLC reserves the right to terminate your service if you breach these terms or fail to make payments.
Consequences of Termination:
Upon termination, your license to use the chatbot is revoked, and no refunds will be issued for services already rendered.

Governing Law:
This agreement is governed by the laws of the Commonwealth of Kentucky, USA.
Dispute Resolution:
Disputes will be resolved through binding arbitration in Kentucky, in accordance with the rules of the American Arbitration Association. If arbitration fails to resolve the dispute, legal action will take place exclusively in the state and federal courts located in Kentucky.

Changes to Terms:
Adams Ventures LLC reserves the right to modify these Terms and Conditions at any time. You will be notified of significant changes, and continued use of the service constitutes acceptance of the updated terms.

Force Majeure:
Adams Ventures LLC is not liable for failure or delay in performing its obligations due to circumstances beyond its control, including but not limited to acts of God, war, terrorism, pandemics, government restrictions, labor strikes, internet or service provider failures, third-party software failures, or any other unforeseen events.
Severability:
If any provision of these Terms is found to be invalid, the remaining provisions will continue in full effect.
Entire Agreement:
These Terms and Conditions constitute the entire agreement between you and Adams Ventures LLC, superseding any prior agreements.

SaaS Performance:
The chatbot is a software-as-a-service (SaaS) solution, and as such, there may be performance limitations due to factors including, but not limited to, internet connectivity, third-party integrations, or limitations in AI processing. Adams Ventures LLC is not liable for performance deficiencies resulting from such external factors.
